Terms and Conditions

1. Scope of Services
Tech Revamp, LLC ("Tech Revamp") shall provide managed IT services as detailed in the Service Agreement or Statement of Work ("SOW"). This includes clearly outlined project objectives, specific deliverables, estimated timelines, exclusions, and limitations explicitly agreed upon by both parties.
2. Payment Terms
The Client agrees to compensate Tech Revamp according to the fee schedule outlined in the SOW or Service Agreement. Invoices shall be issued monthly or as otherwise agreed, payable within 15 days from the date of invoice unless stated otherwise. Any additional expenses incurred during the delivery of services will be billed separately, subject to prior approval by the Client.
3. Confidentiality
Both parties acknowledge that during the term of engagement, they may exchange confidential information. Tech Revamp agrees to maintain the confidentiality of all sensitive Client data and information. This obligation extends beyond termination of the agreement. Neither party shall disclose confidential information without written consent, except as required by law or judicial order.
4. Intellectual Property
All intellectual property rights related to the deliverables and original materials created specifically for the Client by Tech Revamp under this agreement shall belong to the Client upon full payment. Any pre-existing intellectual property owned by Tech Revamp or third parties shall remain with the original owner and may be licensed to the Client as required, according to the terms explicitly defined in the SOW.
5. Limitation of Liability
Tech Revamp's total liability to the Client for any claims, losses, damages, or expenses arising from services rendered shall not exceed the total fees paid by the Client under the applicable SOW or Service Agreement. Tech Revamp shall not be liable for any indirect, consequential, or incidental damages, including lost profits or data.
6. Acceptable Use Policy (AUP)
The Client agrees to use Tech Revamp's services solely for lawful and legitimate purposes. Any use that violates applicable laws, regulations, or compromises the security or functionality of services provided is strictly prohibited and may result in immediate termination of services.
7. Service Level Agreements (SLAs)
Specific SLAs detailing uptime, response times, and support expectations shall be outlined in individual Service Agreements or SOWs. Tech Revamp will make commercially reasonable efforts to comply with these SLAs.
8. Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond reasonable control, including natural disasters, strikes, interruptions in utility or network services, or government actions.
9. Termination and Dispute Resolution
Either party may terminate this agreement upon written notice if the other party breaches any material term and fails to remedy such breach within 15 days of receiving written notice. Disputes arising out of or relating to this agreement shall first be addressed through mediation. If unresolved, disputes will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
10. Governing Law
These Terms and Conditions are governed by the laws of the State of Illinois, United States.
11. User Consent and Acceptance
By engaging Tech Revamp's services or accessing our website, you explicitly consent to and agree to comply with these Terms and Conditions and our Privacy Policy.
12. SMS Messaging Terms

Types of messages: Tech Revamp sends conversational and customer-care SMS messages related to support requests, appointment reminders, service updates, project updates, and account notifications.

13. Free and Publicly Distributed Software
From time to time, Tech Revamp may develop and distribute free, publicly available software, including desktop applications, web applications, iOS applications, Android applications, command-line tools, utilities, scripts, and samples (collectively, "Free Software"). Free Software is offered as a convenience to the public and is separate from the paid managed services described elsewhere in these Terms.
"AS IS" and "AS AVAILABLE"
Free Software is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express or implied, including without limitation the implied warranties of merchantability, fitness for a particular purpose, non-infringement, reliability, availability, accuracy, compatibility, security, and uninterrupted operation.
You are solely responsible for determining whether Free Software is suitable for your intended use, reviewing any permissions it requests before installation, maintaining your own backups, testing Free Software in a safe or non-production environment before relying on it, and complying with all applicable laws and any third-party terms that apply to your use.
Tech Revamp does not guarantee ongoing support, updates, maintenance, compatibility with future systems, bug fixes, new features, or continued availability of any Free Software. Tech Revamp may modify, suspend, or discontinue Free Software, in whole or in part, at any time and without notice.
To the maximum extent permitted by law, Tech Revamp is not responsible for data loss, device damage, business interruption, system incompatibility, security incidents, or any other loss arising from the installation, use, inability to use, or misuse of Free Software.
14. App Store and Platform Terms
Free Software and other applications distributed through the Apple App Store, Google Play, Microsoft Store, GitHub, or other third-party platforms may also be governed by the applicable platform's own terms of service, privacy disclosures, permissions requirements, purchase rules, refund policies, and technical requirements. Those platform terms apply in addition to these Terms and Conditions, and, to the extent they concern the platform's own operation of its store, the platform's terms will control for that limited purpose.
15. Custom-Built Application Terms
Custom applications, websites, APIs, integrations, databases, and automations developed by Tech Revamp for a specific client are governed by the applicable Statement of Work, software development agreement, license agreement, support agreement, maintenance agreement, or other signed contract between Tech Revamp and that client (a "Client Agreement"). A Client Agreement may contain separate and more specific terms addressing scope, acceptance, ownership, licensing, warranties, support, hosting, security, privacy, data retention, service levels, and liability.
Where a signed Client Agreement conflicts with these general website Terms and Conditions, the Client Agreement controls with respect to the services and deliverables it covers.
16. Third-Party Components
Software developed or distributed by Tech Revamp, including Free Software and custom client applications, may rely on third-party libraries, APIs, cloud platforms, operating systems, app stores, data sources, and other external services. These components may be subject to their own separate licenses and terms. Tech Revamp is not responsible for outages, changes, vulnerabilities, or discontinuation of any third-party component outside of Tech Revamp's control.

9. SMS / Text Messaging Information
Tech Revamp may collect your mobile phone number when you voluntarily provide it, such as through our website contact form and its optional SMS consent checkbox. We use mobile numbers to send conversational and customer-care SMS messages regarding customer support, appointments, service updates, project updates, and account notifications.
- SMS consent, opt-in data, and mobile phone number information will not be sold, rented, transferred, or shared with third parties or affiliates for marketing or promotional purposes.
- Mobile information may be shared only with service providers who help us deliver the messaging service itself (for example, our SMS/text messaging platform), and only under confidentiality obligations appropriate to that relationship.
- You may opt out of SMS messages at any time by replying STOP.

10. Desktop, Web, iOS, and Android Applications
Tech Revamp may develop and distribute desktop, web, iOS, and Android applications. Each application may have different data practices depending on its purpose and functionality; where an application's in-app disclosures or a separate privacy notice differs from this section, that application-specific disclosure controls for that application.
An application may collect limited technical or diagnostic information necessary for it to function, such as application version, operating-system version, device type, crash reports, error logs, performance information, diagnostic information, and settings or identifiers required for functionality.
Unless the application, an app-store disclosure, or a separate privacy notice states otherwise, Tech Revamp does not intentionally collect personal files, photos, contacts, messages, passwords, precise location, or other private device content.
Some applications may operate entirely on-device and do not transmit user content to Tech Revamp or any third party. Applications that use cloud services, user accounts, analytics, subscriptions, advertising, crash reporting, or third-party APIs may provide additional, app-specific privacy disclosures describing that data collection in more detail.
11. Free and Publicly Distributed Applications
Free, publicly distributed applications may involve limited or no account-based data collection by Tech Revamp. However, the operating systems, app stores, hosting providers, analytics services, and crash-reporting platforms used to distribute or run these applications may independently collect information under their own privacy policies, which are not controlled by Tech Revamp.
12. Custom Client Applications
Privacy and data handling practices for custom applications developed for a specific client are governed by the applicable Statement of Work, development agreement, data-processing agreement, privacy notice, or other written contract between Tech Revamp and that client. In connection with these engagements, Tech Revamp may act as a service provider or processor, handling data on behalf of, and according to the instructions of, the client who determines the purpose and means of processing.
13. Children's Privacy
Tech Revamp's services and general-purpose software are not directed to children under the age of 13. Tech Revamp does not knowingly collect personal information from children under 13 without appropriate parental or legal authorization. If you believe a child has provided us with personal information without such authorization, please contact us using the information below.
